Franchise and Distribution Law

The Firm has represented startup and existing franchisors, franchisees and distribution clients for many years.  Much of the Firm's franchise and distribution practice has been focused on representing franchisees, reviewing franchise agreements and related offering circular documentation, area development agreements and negotiations with franchisors on a variety of relationship matters, and franchise and dealer terminations. On the fllip side of the representation, the Firm also has represented franchisors in connection with start up and existing franchise systems, preparation, review and update of franchise offering materials and supporting documentation as well as regulatory compliance and enforcement of various franchise contractual relationships, including terminations. 
 
The Firm's franchise attorneys work closely with its Intellectual Property attorneys to protect the intellectual property of its clients including names, logos and other aspects of one's trade or service mark and related copyrights. The Firm has represented both franchisees/franchisors in a variety of business enterprises including real estate brokerage, fast food restaurants, fast casual restaurants, traditional in store dining restaurants, home repair services, motor vehicle sales and finance, automotive distribution, telecommunications, advertising services, lodging, tanning, spa services, optical products and numerous others. 
 
In addition to providing traditional franchise and distribution services, the Firm represents franchisee/franchisor and distribution clients in connection with a variety of business matters including entity organization and maintenance,taxation, securities law compliance, real estate acquisition, sales and leasing, labor and employment, administrative law, acquisitions and dispositions of franchise businesses, and other traditional business issues that arise from time to time in the context of franchisee/franchisor and distribution businesses.
