• Organization and licensing of insurance holding companies, life and health, property and casualty and workers compensation insurers, HMOs and agencies.
• Acquisition and disposition of insurers and insurance agencies.
• Insurance holding company systems filings.
• Licensing of foreign insurers to do business in Mississippi and obtaining surplus lines authority.
• Public offerings of SEC registered companies and registered and limited offerings of securities including insurer prospectuses and other offering documents.
• Representation of insurers, HMOs and agents before the Mississippi Commissioner of Insurance with respect to rates and filings, approval of specialty programs, and disputes of various kinds.
• Development of life, health and casualty insurance policies to comply with the insurance statutes and regulations of a number of states.
• Reinsurance contract negotiation and drafting and obtaining insurance department approval.
• Formation of purchasing groups under the Federal Liability Risk Retention Act and qualification of the purchasing groups in several states.
• Life and Health Insurance Guaranty Association representation.
• Representation of rehabilitators and liquidators of insolvent insurers.
• Representation of insurers and HMOs before the Mississippi State Tax Commission with respect to premium tax, retaliatory tax and other tax matters and disputes.
• Government relations and legislative matters.
